Supplemental Terms for Trimble Field Systems Hardware

These Supplemental Terms for Trimble Field Systems Hardware (“Field Systems Hardware Terms”) supplement the Trimble General Transaction Terms, available at https://www.trimble.com/en/legal/customer-terms, or any successor website, as referenced in the applicable Order (collectively the “Terms”), which are hereby incorporated in such Order by reference and apply to any Trimble Field Systems Hardware purchased by Customer. Capitalized terms not defined herein have the respective meanings given to them in the Terms.

1.    Definitions. 

1.1. “Strategic Account Program” means Trimble’s by-invitation program for select customers for Trimble Field Systems Hardware purchased from participating Resellers.

1.2. “Trimble Field Systems Hardware” means the then-current definitive list of Trimble hardware offerings (Civil, Geospatial, and Buildings) as communicated by Trimble from time to time in writing (e-mail acceptable). 

2.    General.

2.1.     Program Terms. These Field Systems Hardware Terms set forth the terms and conditions governing the procurement of Trimble Field Systems Hardware by Customer as part of Trimble’s Strategic Account Program. Prerequisites, if any, to participation in the Strategic Account Program (i.e., annual minimum spend) and the discount applicable to Customer’s purchases of Trimble Field Systems Hardware made via the Strategic Account Program shall be set forth in the Agreement. 

2.2.     Hardware Products. Customer may purchase Trimble Field Systems Hardware for Customer’s own account and not for resale or distribution. Hardware is sold subject to the terms and conditions accompanying the sale and/or Trimble Field Systems Hardware. 

2.3.     Training. Customer may purchase training classes to facilitate Customer’s use of Trimble Field Systems Products from Trimble or a Reseller. Trimble may provide training services by its own employees, employees of Trimble’s affiliated companies or Trimble certified trainers.

3. Ordering Procedures. 

  1. Orders. Unless otherwise specified by Trimble, orders for Trimble Field Systems Hardware will be made as follows:

    1. Trimble Account Manager. Customer and a Trimble account manager may discuss Field Systems Hardware desired to be ordered and/or performed, as applicable.

    2. Resellers. Customer will purchase Trimble Field Systems Hardware from one or more Resellers which participate in Trimble’s Strategic Account Program. Customer and the applicable Reseller will enter into such transactions on such terms and conditions as mutually agreed upon between them. 

4. Controlling Terms. Delivery schedules and terms, and acceptance terms for each purchase, will be determined by the agreement(s) between Customer and the applicable Reseller. If a Reseller is unable to meet a delivery date requested by Customer, the Reseller will provide an expected shipment date and updates thereof in due course.

5. Pricing and Payment.

5.1. Prices. As a member of Trimble’s Strategic Account Program, Customer is entitled to receive discounting on the retail price of Trimble Field Systems Hardware that Customer purchases from Resellers participating in that program. The discounts for Trimble Field Systems Hardware shall be set forth in the Agreement and may not be combined with any other discounts.  Professional services, hot spares, refurbished products, third party products and discounted products are not eligible to receive a discount under Trimble’s Strategic Account Program. Trimble Field Systems Hardware availability and pricing may change from time to time. Current retail pricing will be reflected on Trimble’s electronic ordering website. 

5.2. Payment Terms. Terms and conditions of payment will be determined by the agreement(s) between Customer and the applicable Reseller.

6. Limited Warranty; Warranty Disclaimer.

6.1. Limited Warranty. Trimble’s standard warranty for the Trimble Field Systems Hardware will be passed to Customer through the Reseller.

6.2. Warranty Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN SECTION 6.1, ALL FIELD SYSTEMS HARDWARE IS PROVIDED “AS IS.” NEITHER TRIMBLE NOR ITS SUPPLIERS MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. CUSTOMER MAY HAVE OTHER STATUTORY RIGHTS. HOWEVER, TO THE FULL EXTENT PERMITTED BY LAW, THE DURATION OF STATUTORILY REQUIRED WARRANTIES, IF ANY, WILL BE LIMITED TO THE LIMITED WARRANTY PERIOD.

6.3. Product Change; Discontinuance. Trimble reserves the right to alter the design, functionality or construction of any Trimble Field Systems Product, and to discontinue any Trimble Field Systems Product or the support for any Trimble Field Systems Product in its sole discretion. This right notwithstanding, during the Term, Trimble will provide commercially reasonable prior written notice to Customer of any changes made to Trimble Field Systems Products that would materially affect their functionality or serviceability, and/or of any decision to discontinue production during the Term applicable to such Field systems Products. Trimble will use commercially reasonable efforts to provide support services for a discontinued Trimble Field Systems Product beyond its applicable warranty period on commercially reasonable terms agreed by the parties.

7.0 Revisions to Terms. For purchases of Trimble Field Systems Hardware, the Terms are hereby amended as follows:

7.1 The definition of “Hardware” is deleted in its entirety and replaced with: “Hardware” means hardware, equipment, devices, accessories, and parts specified in a Reseller-issued order form, quote, proposal, sales agreement, or similar document..

7.2 The definition of “Reseller” is hereby added as follows: “Reseller” means an authorized dealer, distributor or reseller of Trimble.

7.3 The definition of “Trimble” is deleted in its entirety and replaced with: “Trimble” means (a) Trimble Inc. or its Affiliate identified on the Order or SOW, or if none is specified, as set forth in Exhibit A (Trimble Entities; Governing Law; Exclusive Venue/Jurisdiction) based on the applicable Customer location, and (b) for purchases made through a Reseller located in the United States, “Trimble” means Trimble Inc.

7.4 The following provisions regarding purchases from Resellers is hereby added as Section 13:

13. Purchase from Reseller.  If Customer obtained the Offering through a Reseller, the terms of this Section 13 (Purchase from Reseller) are applicable and will prevail in event of any conflict with any other provisions of the Agreement:

13.1  The Agreement is between Trimble and Customer and governs all access and use of the Offering by Customer. Resellers are not authorized to modify the Agreement or make any promises or commitments on Trimble’s behalf, and Trimble is not bound by any obligations to Customer other than as set forth in the Agreement. Trimble is not party to (or responsible under) any separate agreement between Customer and the Reseller and is not responsible for the Reseller’s acts, omissions, products or services. For Subscriptions, the applicable Offering list price for the applicable Subscription Term will be deemed the amount paid or payable by Customer to Trimble under the Agreement for purposes of Section 7 (Limitations of Liability).

13.2  Instead of paying Trimble, Customer will pay the applicable amounts to the Reseller, as agreed between Customer and the Reseller. If the Reseller fails to pay Trimble the applicable fees for Customer’s use of the Offering, Trimble reserves the right to terminate the applicable Term for such Offering and all related rights granted hereunder. 

13.3  Customer’s order details (e.g., the applicable Offering, the Term, Usage Limitations, Authorized Users, and any additional scope of use restrictions) will be as stated in the entitlement confirmation issued by Trimble to the Reseller, and the Reseller is responsible for the accuracy of any such information as communicated to Trimble. Unless otherwise designated by Trimble, the Reseller is solely responsible for delivering to Customer any Offering, and Trimble has no liability for the Reseller’s failure to deliver any Offering.

13.4  The Reseller may fulfill Trimble’s warranty obligations under Section 9.1 (Limited Warranty) of the Software Terms on behalf of Trimble, to the extent authorized by Trimble in writing. Notwithstanding the foregoing, the Reseller has no authority to make any statements, representations, warranties or commitments on Trimble’s behalf, and any such statements, representations, warranties or commitments are null and void. If the Reseller agrees to provide front-line support or professional services to Customer, Trimble has no responsibility for such Reseller-provided support or professional services.

13.5  In the event Customer is entitled to a refund under the Agreement, Customer must request such refund through the Reseller. Any request sent directly to Trimble may be redirected to the Reseller. Trimble will refund any applicable fees to the Reseller, and the Reseller will be solely responsible for refunding such fees to Customer, unless otherwise specified by Trimble. Trimble will have no further liability to Customer in the event the Reseller fails to refund such fees to Customer.
