Apple Apps Additional Terms

These Apple Apps Additional Terms (the “Additional Terms”) form part of the written or electronic agreement for Trimble’s provision of products, software, and/or services into which agreement this Addendum is expressly incorporated by reference (the “Agreement”) by and between Trimble Inc. or one of its corporate affiliates as specified in the Agreement (“Trimble”), and the other party to the Agreement (“you” or “your”) (each, a “Party,” and together, the “Parties”), and applies to your license of an iOS, iPadOS, or MacOS application from Trimble (an “Apple App”). This Addendum is of no force or effect unless expressly incorporated by reference into an Agreement. In the event of a conflict between these Additional Terms and a corresponding term or provision of the Agreement, these Additional Terms control with respect to Apple Apps only.
1. Acknowledgment
The Agreement is concluded between you and Trimble only, not Apple Inc. (“Apple”), and Trimble is solely responsible for the Apple App and its content. To the extent a usage rule set forth in the Agreement applicable to an Apple App conflicts with Apple’s Apple Media Services Terms and Conditions or its Volume Content Terms, that usage rule will not apply to your license to the Apple App.
2. Scope of License
The license granted to you for the Apple App is non-transferable and is limited to use on Apple-branded hardware products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that such Apple App may be accessed, acquired, and used by other accounts associated with the purchaser via Family Sharing, volume purchasing, or Legacy Counts.
3. Maintenance and Support
Trimble is solely responsible for providing maintenance and support for the Apple App as specified in Agreement or as required under applicable law. You and Trimble both acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Apple App.
4. Warranty
Trimble is solely responsible for any product warranties with respect to the Apple App, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Apple App to conform to any applicable warranty set forth in the Agreement, you may notify Apple and Apple will refund you the purchase price for the Apple App (if any). Trimble does not offer refunds for Apple Apps. Apple will have no other warranty obligation to you whatsoever with respect to the Apple App, and any other claims, liabilities, damages, costs, or expenses attributable to any failure of the Apple App to conform to the warranty shall be Trimble’ sole responsibility.
5. Product Claims
You and Trimble acknowledge that Trimble, not Apple, is responsible for addressing any claims of you or any third party relating to the Apple App or your possession and/or use of the Apple App, including but not limited to (i) product liability claims, (ii) any claim that the Apple App fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection, privacy or similar legislation including in connection with Your Apple App’s use of the HealthKit and HomeKit frameworks. Trimble’s liability to you under the Agreement with respect to the Apple App is limited as permitted by applicable law.
6. Intellectual Property Rights
You and Trimble acknowledge that in the event of any third-party claim that an Apple App, or your possession and/or use of an Apple App, infringes that third party’s intellectual property rights, Trimble and not Apple shall be solely responsible for the investigation, defense, settlement and discharge of such intellectual property infringement claim, and that Trimble’s obligations therein shall be as and to the extent set forth in the Agreement.
7. Legal Compliance
You represent and warrant that (i) that you are not located in a country subject to a U.S Government embargo or that has been designated by the U.S Government as a “terrorist supporting” region, and (ii) you are not listed on any U.S Government list of prohibited or restricted parties.
8. Developer Name and Address
Trimble’s name and address are set forth in the Agreement. End-user questions, complaints, or claims related to an Apple App should be directed to support@trimble.com; please specify the name and version number of your Apple App and Trimble’s name in your communication.
9. Third Party Terms of Agreement
When using the Apple App, you must comply with any applicable third-party agreement or terms and conditions related to such use (e.g., if an Apple App requires you to have a wireless data service, you must not be in violation of the wireless data service agreement or terms and conditions).
10. Third Party Beneficiary
You and Trimble acknowledge and agree that Apple and its subsidiaries are third party beneficiaries of the Agreement, and that upon your acceptance of the Agreement Apple will have the right (and will be deemed to have accepted the right) to enforce the Agreement against you as a third party beneficiary thereof.
11. Changes to Terms
Trimble may modify these Additional Terms by posting a new version on this page if Trimble determines such modifications necessary for continued compliance with its agreement(s) with Apple and/or any of its affiliates. If you object to any such modifications, you will promptly (but in any event within thirty (30) calendar days of the date of posting) notify Trimble of such objection, and the Parties shall work together in good faith to discuss and resolve such concerns.
